1. Acceptance of Terms
By accessing or using the Digital AI Foreman platform ("Service"), available at www.digitalaiforeman.com, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service following any updates to these Terms constitutes acceptance of those changes.
2. Description of Service
Digital AI Foreman is an AI-powered automation platform designed for contractors and home service businesses, including but not limited to HVAC, plumbing, roofing, electrical, and landscaping companies. The Service provides:
- AI Receptionist — automated phone answering and call handling
- Missed Call Recovery — automatic text-back for unanswered calls
- Lead Qualification — AI-driven screening and routing of incoming leads
- Review Automation — automated review request campaigns after completed jobs
- Scheduling Automation — calendar management and appointment booking
- Third-Party Integrations — connections to field service management platforms, accounting software, and other business tools
The specific features available to you depend on your subscription plan. Digital AI Foreman reserves the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.
3. Account Registration and Responsibilities
To use the Service, you must create an account and provide accurate, current, and complete information about your business. You agree to:
- Maintain the accuracy of your account information at all times
- Keep your login credentials secure and confidential
- Notify us immediately if you suspect unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to register for an account. Accounts are intended for business use — Digital AI Foreman is a B2B platform and does not provide services directly to consumers.
4. Subscription and Payment Terms
Digital AI Foreman operates on a monthly subscription basis. By subscribing to the Service, you agree to the following:
- Billing: All payments are processed through Stripe. You authorize us to charge your designated payment method on a recurring monthly basis.
- Setup Fees: Certain plans may include a one-time setup fee to cover onboarding, configuration, and integration work. Setup fees are non-refundable once onboarding has begun.
- Plan Changes: You may upgrade or downgrade your subscription plan at any time. Changes take effect at the start of the next billing cycle.
- Late Payments: If a payment fails, we will attempt to collect the amount due. Accounts with outstanding balances may have their access to the Service suspended until payment is resolved.
- Refunds: Monthly subscription fees are non-refundable. If you cancel, your access continues through the end of the current billing period.
- Taxes: All fees are exclusive of applicable taxes. You are responsible for any sales tax, use tax, or similar charges imposed by your jurisdiction.
5. Permitted Use and Acceptable Use
You may use the Service solely for lawful business purposes related to operating your contracting or home service business. You agree not to:
- Use the Service for any illegal, fraudulent, or harmful purpose
- Transmit spam, unsolicited messages, or content that violates applicable telemarketing or communication laws (including the TCPA and CAN-SPAM Act)
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service
- Interfere with or disrupt the Service's infrastructure, security, or other users' access
- Use the Service to collect, store, or process data in a way that violates any applicable privacy laws
- Resell, sublicense, or redistribute access to the Service without our prior written consent
- Misrepresent your identity or impersonate another business when using AI-powered communications
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that your use of the Service violates these Terms or poses a risk to other users or our platform.
6. Third-Party Integrations
The Service connects to and integrates with third-party platforms and services on your behalf, which may include but are not limited to:
- Jobber, ServiceTitan, and Housecall Pro (field service management)
- QuickBooks (accounting and invoicing)
- Google Business Profile (reviews and business listing management)
- Twilio (phone and SMS communications)
- Calendly (scheduling)
- Stripe (payment processing)
When you authorize Digital AI Foreman to connect to a third-party service, you grant us permission to access and interact with that service's data and features as needed to deliver the Service. You acknowledge and agree that:
- Third-party services are governed by their own terms of service and privacy policies, which you are responsible for reviewing and accepting independently.
- Digital AI Foreman is not responsible for the availability, accuracy, or performance of any third-party service.
- If a third-party service changes its API, terms, pricing, or availability, it may affect the functionality of our Service. We will make reasonable efforts to address such changes but cannot guarantee uninterrupted integration.
- You are responsible for maintaining valid credentials and active accounts with the third-party services you choose to connect.
7. Data and Privacy
Your privacy matters to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Service, you acknowledge that:
- We process business data, customer contact information, call recordings, and other information necessary to deliver the Service.
- You are responsible for ensuring that your use of the Service complies with all applicable data protection and privacy laws in your jurisdiction.
- You have obtained any necessary consents from your customers before their data is processed through the Service, including consent for AI-powered communications, call recording, and automated messaging.
- We may use aggregated, anonymized data for analytics, product improvement, and reporting purposes.
8. Intellectual Property
All rights, title, and interest in the Service — including its software, design, branding, AI models, workflows, documentation, and all related intellectual property — are and remain the exclusive property of Digital AI Foreman.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for the duration of your subscription, subject to these Terms.
You retain ownership of your business data and any content you provide to the Service. By using the Service, you grant us a limited license to use your data solely for the purpose of delivering and improving the Service.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- No Warranty: The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- No Guarantee of Results: While the Service is designed to improve your business operations, we do not guarantee any specific outcomes, including increased revenue, lead conversion rates, or review counts.
- Liability Cap: In no event shall Digital AI Foreman's total liability to you for all claims arising out of or related to these Terms or the Service exceed the total amount you paid to us in the twelve (12) months preceding the claim.
- Exclusion of Damages: Digital AI Foreman shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, loss of data, or business interruption, regardless of the cause of action or the theory of liability.
10. Indemnification
You agree to indemnify, defend, and hold harmless Digital AI Foreman, its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any content, data, or communications transmitted through the Service by you or on your behalf
- Any dispute between you and your customers related to AI-powered communications or automated actions performed by the Service
11. Termination
Either party may terminate the subscription at any time:
- By You: You may cancel your subscription at any time through your account dashboard or by contacting us. Your access will continue through the end of the current billing period. No refunds will be issued for the remaining portion of a billing cycle.
- By Us: We may suspend or terminate your account immediately if you breach these Terms, engage in prohibited conduct, or fail to pay outstanding fees. We may also terminate accounts with 30 days' written notice for any reason.
Upon termination, your access to the Service will cease. We will retain your data for 30 days following termination, during which time you may request an export of your data. After 30 days, your data will be permanently deleted unless otherwise required by law.
12. Changes to Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will:
- Update the "Effective Date" at the top of this page
- Notify you via email or through the Service dashboard at least 14 days before the changes take effect
Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Knox County, Tennessee. Both parties consent to the personal jurisdiction of such courts.
